General Terms and Conditions (GTC)

1. Scope of Application

1.1. Our following General Terms and Conditions apply to all contracts with merchants and non-merchants concerning the delivery of newly manufactured goods that we offer for sale in our catalogs. In business transactions with non-merchants, they are generally made part of the contract under the conditions of § 2 AGBG.

1.2. Deviating purchasing conditions of the client shall only apply with our written consent. Any counter-confirmation by the buyer with deviating conditions is hereby rejected.

1.3. The legal invalidity of any part of these terms shall not affect the validity of the remaining content.

1.4. If these GTC do not contain any regulations, the content of the contract is governed by the statutory provisions applicable in the Federal Republic of Germany.

2. Contract Conclusion

2.1. Our offers are always non-binding. The customer is bound to their order until we reject it, but no longer than 8 weeks. The contract is concluded upon our acceptance (order confirmation) or by delivery within the acceptance period.

2.2. Our field service employees are only authorized to receive orders, not to conclude sales contracts.

2.3. Individual agreements on delivery times, price agreements, product guarantees, and deviations from our GTC require written confirmation to be valid. This requirement cannot be waived.

2.4. Specifications regarding shape, color, and performance as well as illustrations are approximate and non-binding unless explicitly stated as binding.

3. Delivery

3.1. Upon conclusion of the purchase contract, we commit to delivering the goods free of defects within the agreed delivery period. If no delivery period is specified, a period of 4-8 weeks from the conclusion of the contract shall be deemed agreed.

3.2. The minimum order value is €300 before VAT. For smaller orders, a small order surcharge of €7.00 applies.

3.3. Within Germany, delivery is free of charge for orders over €1000 (net) per delivery address and delivery date. For orders below this amount, a shipping fee of 5% of the net order value applies.

3.4. For deliveries outside Germany, a shipping fee of 10% of the net order value applies.

3.5. Packaging is not charged and is not taken back.

4. Prices

4.1. The prices stated in our price lists, advertisements, and promotional materials are always non-binding and only become valid upon written order confirmation.

4.2. Our prices are in EURO net, excluding VAT. The valid prices on the date of contract conclusion apply.

5. Place of Performance, Jurisdiction, and Severability Clause

5.1. The law of the Federal Republic of Germany applies to these terms and the entire legal relationship between us and our contractual partners.

5.2. The place of performance for all payments is our company headquarters. If the contractual partner is a merchant, the competent court is the one responsible for our company headquarters.

5.3. If any provision in these terms or in additional agreements is or becomes invalid, this shall not affect the validity of the remaining provisions.

6. Warranty

6.1. If the delivered goods are defective, the buyer is entitled to rectification or, if this is impossible, to a replacement delivery. Only if the second attempt at rectification or the first replacement delivery fails, the buyer may choose to reduce the price or cancel the contract.

6.2. The customer must report any shortages in writing within 8 days of delivery; otherwise, the delivery is deemed accepted.

7. Payment Terms

7.1. Unless otherwise agreed in writing, the purchase price is generally due on the calendar day corresponding to the invoice date in the following month.

7.2. Payment is considered on time only upon receipt, not upon dispatch.

8. Retention of Ownership

8.1. The goods remain our property until full payment of all claims, including ancillary claims, damages, and check or bill payments.

8.2. The buyer is authorized to resell the goods only under the condition that they assign their claims to us.

9. Complaints, Returns, and Credit Notes

9.1. Complaints must be reported in writing within 7 days, stating the invoice or delivery note number.

9.2. Returns will be collected by us or authorized for disposal after consultation.

10. Offsetting

10.1. The buyer may only offset claims that are legally established.

11. Place of Jurisdiction

11.1. The agreed place of jurisdiction is the competent court in Potsdam, Germany.
